1. Acceptance of Terms
Welcome to NovaLearn! These Terms and Conditions ("Terms") govern your access to and use of the NovaLearn website, mobile applications, and online learning platform (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. These terms constitute a legally binding agreement between you and NovaLearn, a company located at 42 Innovation Drive, Toronto, ON M5J 2X2.
2. User Agreement

This User Agreement outlines the specific rules and guidelines you must follow while using our Services. It's crucial to understand these rules to ensure a positive and respectful learning environment for everyone.
2.1 Eligibility
You must be at least 18 years old to use our Services. By using the Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement.
2.2 Account Registration
To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account password and are responsible for all activities that occur under your account. Notify NovaLearn immediately of any unauthorized use of your account.
2.3 Acceptable Use
You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Services. Prohibited behavior includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within the Services. Specifically, you agree not to:
- Upload, post, email, or otherwise transmit any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Services.
- Upload, post, email, or otherwise transmit any content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).
- Upload, post, email, or otherwise transmit any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights ("Rights") of any party.
- Upload, post, email, or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
- Upload, post, email, or otherwise transmit any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.
- Interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies, or regulations of networks connected to the Services.
- Intentionally or unintentionally violate any applicable local, state, national, or international law.
- "Stalk" or otherwise harass another user.
- Collect or store personal data about other users.
2.4 Termination
NovaLearn reserves the right to terminate your access to the Services at any time, without notice, for any reason, including, without limitation, breach of these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
3. Disclaimer
The information and content provided through NovaLearn's Services are for educational and informational purposes only. While we strive to provide accurate and up-to-date information, we make no warranties or representations about the accuracy, completeness, or suitability of the content for any particular purpose.
As stated by Eleanor Vance, Head of Content at NovaLearn: "Our goal is to empower learners, but we cannot guarantee specific outcomes or career advancements based solely on the use of our platform."
Your use of the Services is at your own risk. NovaLearn shall not be liable for any damages or losses arising from your reliance on the information provided through the Services. It is your responsibility to evaluate the accuracy, completeness, and usefulness of any information, opinion, advice, or other content available through the Services.
4. Limitation of Liability
To the fullest extent permitted by applicable law, NovaLearn shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Services.
- Any conduct or content of any third party on the Services, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties.
- Any content obtained from the Services.
- Unauthorized access, use, or alteration of your transmissions or content.
In no event shall NovaLearn's aggregate liability for all claims relating to the Services exceed the amount you paid NovaLearn, if any, during the six (6) months prior to the event giving rise to the liability.
5. Intellectual Property
The Services and their original content, features, and functionality are owned by NovaLearn and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, modify, distribute, transmit, display, perform, or otherwise exploit any content from the Services without the express written consent of NovaLearn.
6. Changes to Terms
NovaLearn reserves the right to modify or revise these Terms at any time, and you agree to be bound by such modifications or revisions. We will post any changes to these Terms on the website, and it is your responsibility to review these Terms periodically. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or relating to these Terms or the Services shall be instituted exclusively in the courts of Ontario.

9. Entire Agreement
These Terms constitute the entire agreement between you and NovaLearn relating to the Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and NovaLearn with respect to the Services.
10. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
11. Waiver
The failure of NovaLearn to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
12. Assignment
You may not assign your rights or obligations under these Terms without the prior written consent of NovaLearn. NovaLearn may assign its rights and obligations under these Terms at any time.
